1. Acknowledgment

These Terms and Conditions set out the agreement between you (whether personally or on behalf of an Organization) and Wudd ("the Company", "we", "us", "our"), a platform registered in the Kingdom of Saudi Arabia and operated from Riyadh. Your access to and use of the Wudd website, web application, and mobile application (collectively, the "Service") are conditioned on your acceptance of these Terms.

By accessing or using the Service you agree to be bound by these Terms and by our Privacy Policy. If you disagree with any part of these Terms you must not access the Service.

You represent that you are over the age of 18. The Company does not permit anyone under 18 to use the Service.

2. Definitions

"Account" means the unique account created for you to access the Service.

"Content" means text, images, recognitions, badges, comments, files, and other material that you post, upload, or otherwise make available through the Service.

"Organization" means the company, employer, or other legal entity that has subscribed to the Service and on whose behalf you are using it.

"Subscription" means the paid plan you or your Organization purchases in order to use the Service.

3. Subscriptions, Billing, and Payment

Access to paid features of the Service requires an active Subscription. You will be billed in advance on a recurring monthly or annual basis. Prices are quoted in Saudi Riyals (SAR) and are exclusive of applicable Value Added Tax (VAT) unless stated otherwise.

All payments are processed through Tap Payments, a licensed payment service provider in the Kingdom of Saudi Arabia. Accepted methods may include mada, Visa, Mastercard, American Express, and any other method made available from time to time. We do not store or collect your payment card details. Tap Payments complies with the PCI-DSS standards.

Your Subscription will automatically renew at the end of each billing cycle unless cancelled by you or by the Company. You may cancel renewal through your Account settings or by contacting us.

4. Free Trial, Fee Changes, and Refunds

We may offer a free trial of the Service. If you sign up for a trial, you will not be charged until the trial ends, at which point your Subscription will begin unless you cancel before it ends.

We may modify Subscription fees at any time. Any change takes effect at the end of the then-current billing cycle. We will provide reasonable prior notice of any change so that you may terminate your Subscription before the change becomes effective. Continued use of the Service after the change constitutes your agreement to the modified fees.

Except where required by law, Subscription fees are non-refundable once a billing cycle has begun. Monthly Subscriptions remain active until the end of the current month and may be cancelled at any time. For annual Subscriptions, we offer a full refund within 14 days of the initial purchase; after that period, annual Subscriptions are non-refundable for the current billing year, and you may cancel auto-renewal at any time.

We reserve the right to refuse or cancel a Subscription if fraud or an unauthorized or illegal transaction is suspected.

5. User Accounts

When you create an Account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your Account.

You are responsible for safeguarding the password you use to access the Service and for any activity conducted under it. You must notify us immediately of any breach of security or unauthorized use of your Account.

You may not use as a username the name of another person or entity, a name that is subject to the rights of a third party without authorization, or a name that is offensive, vulgar, obscene, or contrary to the laws or public morals of the Kingdom of Saudi Arabia.

6. Your Content and License

The Service allows you to post Content. You are responsible for the legality, reliability, and appropriateness of the Content you post.

By posting Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, display, reproduce, and distribute such Content on and through the Service for the purpose of operating and providing it. You retain all rights to your Content.

You represent and warrant that the Content is yours or that you have the right to grant the license above, and that the posting of your Content does not violate the privacy, publicity, copyright, contract, or any other rights of any person.

7. Family and Occasion Data

The Service includes an "Occasions" feature that sends courtesy reminders (for example, birthday reminders). To enable this feature, you or your Organization may provide limited information about your family members, including the first name, date of birth, and sex of your child or children.

The sex of the child is used only so that the reminder can be phrased with the correct grammatical form in Arabic, as Arabic pronouns and verb conjugations differ between male and female.

By providing this information, you represent and warrant that you are the parent or legal guardian of the child, or that you have the express consent of the parent or legal guardian, to provide this information to the Service for the purpose described above.

We will not create an account for any child, will not contact the child, will not market to the child, and will not disclose this information to any third party except as strictly necessary to operate the reminder. You may delete this information at any time from your Account settings or by contacting us.

8. Content Restrictions

You are solely responsible for the Content you post and for all activity under your Account. You may not transmit Content that is unlawful under the laws of the Kingdom of Saudi Arabia, or that is offensive, threatening, libelous, defamatory, obscene, or otherwise objectionable.

Prohibited Content includes, without limitation, content that violates the laws, regulations, or public morals of the Kingdom of Saudi Arabia; defamatory, discriminatory, or hateful content targeting religion, race, gender, or other protected groups; spam, chain letters, or unsolicited advertising; viruses, malware, or any code designed to disrupt the Service; content that infringes the intellectual property or privacy rights of any party; content that impersonates any person or entity; and false or deceptive information.

The Company reserves the right, in its sole discretion, to review, refuse, or remove any Content, and to suspend or terminate the Account of any user who posts objectionable Content.

9. Content Backups

Although regular backups of Content are performed, the Company does not guarantee that there will be no loss or corruption of data. You agree to maintain a complete and accurate copy of any Content in a location independent of the Service. The Company has no liability for the integrity of Content or for failure to successfully restore Content to a usable state.

10. Copyright and Intellectual Property

We respect the intellectual property rights of others, and we respond to claims that Content posted on the Service infringes copyright or other rights under the Saudi Copyright Law (issued by Royal Decree No. M/41 dated 2/7/1424H, as amended) and any other applicable law.

To submit a copyright notice, please contact us in writing with: your signature (electronic or physical); a description of the copyrighted work you claim has been infringed; the URL or location on the Service of the material you claim is infringing; your name, address, telephone number, and email; a statement that you have a good-faith belief that the disputed use is not authorized; and a statement that the information you provided is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

Upon receipt of a valid notice, the Company will take whatever action it deems appropriate, including removal of the challenged Content. You may be held accountable for damages for misrepresenting that any Content infringes your copyright.

The Service and its original content, features, and functionality (excluding Content provided by you or other users) are and will remain the exclusive property of the Company and its licensors. Our trademarks, including "Wudd" and "ود", may not be used without our prior written consent.

11. Feedback

You assign to the Company all rights, title, and interest in any feedback, suggestions, or ideas you provide about the Service. If for any reason that assignment is ineffective, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, disclose, sub-license, distribute, modify, and exploit such feedback without restriction.

12. Links to Other Websites

The Service may contain links to third-party websites or services that are not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. We advise you to review the terms and privacy policies of any such third parties.

13. Termination

We may terminate or suspend your Account immediately, without prior notice or liability, for any reason, including breach of these Terms. On termination, your right to use the Service ceases immediately. You may terminate your Account at any time by discontinuing use or by cancelling your Subscription through your Account settings.

14. Limitation of Liability

To the maximum extent permitted by applicable law, the entire liability of the Company and its suppliers under these Terms, and your exclusive remedy, is limited to the amount actually paid by you through the Service during the twelve (12) months preceding the event giving rise to liability, or SAR 500 if no such amount has been paid.

In no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages, including loss of profits, loss of data, business interruption, personal injury, or loss of privacy arising from or related to the Service, even if the Company has been advised of the possibility of such damages.

15. "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, with all faults and defects, without warranty of any kind. To the maximum extent permitted by law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

The Company does not warrant that the Service will meet your requirements, achieve any intended results, operate without interruption, meet any performance or reliability standards, or be error-free.

16. Governing Law and Dispute Resolution

These Terms and your use of the Service shall be governed by the laws of the Kingdom of Saudi Arabia, without regard to its conflict-of-law provisions.

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting the Company. If the dispute cannot be resolved within thirty (30) days, the competent courts of Riyadh, Kingdom of Saudi Arabia, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

17. For European Union (EU) Users

If you are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory local law.

18. Severability, Waiver, and Translation

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

The failure to exercise a right or to require performance of an obligation shall not affect the ability to exercise that right or require that performance at a later time, nor does the waiver of a breach constitute a waiver of any subsequent breach.

These Terms may be made available to you in Arabic and English. In the event of any conflict or inconsistency between the two versions, the Arabic version shall prevail.

19. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days' notice prior to any new terms taking effect. By continuing to use the Service after the revised terms become effective, you agree to be bound by them.
